Scope of Services

1. ACRA Compliance

Our Core Services will include: Corporate secretary:

• Representing the Company as Corporate secretary
• Filling annual returns
• Preparing and submission of Annual General Meeting (AGM), Extraordinary General Meeting (EGM) & Directors’ Minutes Resolutions

• Updating company records with ACRA
• Maintaining the required registers

Professional Fees

The fee for acting as a nominee company secretary is S$600 per annum instead of S$720.

The fee is S$400 per annum instead of S$600 for preparing of minutes of Minutes of Directors’ Resolution and Annual General Meeting when due and filing of annual return to ACRA as and when due.

This offer is for client who are using our other services as packages such as compilation of financial statement and/or tax compliance services.

Additional secretarial charges will only apply when there are any additional secretarial work require to be done to meet regulatory requirements:-

Secretarial service rates range from S$80 to S$200 for the following services such as:

1. Routine non-share related work (resolution on change of business activities, directors, registered address, opening of new bank account).
2. Routine share related work (resolution on share allotment, share transfers etc).

• Non-routine secretarial work ( resolution on change of company name, alternation of Memorandum and articles of association, changes in share capital, resolution which require customization.

1. S$300 XBRL format Conversion of Financial Statement (Partial).
2. S$500 XBRL format Conversion of Financial Statement (Full).

Directors’ responsibilities

The responsibilities of the Directors and/or Management of the Company shall be as follows:

• Provide us access to all information and documentation we reasonably require performing the services
• Ensure that information provided to us is accurate and complete
• The information provided must be in editable version

Termination

Either the firm or the company can terminate the engagement by providing a notice in writing immediately.

In the event where Company is involved in suspicious activities the agreement will be auto terminated.
